Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and GGenesis Strategic Solutions LLC ("GGenesis," "we," "us") governing your use of CaliberSuite™ ("the Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Please read Section 5 carefully. CaliberSuite is an advisory tool. Its outputs are drafts to support your professional judgment, not legal, financial, tax, or HR-compliance advice. You are responsible for reviewing and deciding before you act on or share anything it produces.

1. The Service

CaliberSuite is a personal AI advisor for senior HR and people leaders. It calibrates to context you provide and generates draft analysis, framing, and recommendations. The Service evolves over time as features are added or refined; we will provide reasonable notice for material changes.

2. Eligibility & accounts

You must be at least 18 and able to form a binding contract.
You agree to provide accurate information and to keep your login credentials secure. You are responsible for activity under your account.
One account is for one individual; do not share credentials.

3. Trial, fees & subscriptions

Trial: new accounts receive a 14-day trial. A valid payment method is required at signup. You may cancel anytime before day 14 from Settings (Manage Billing) and you will not be charged.
After the trial: continued access requires a paid subscription. Current tiers:
- Founding Member: $47/month, locked at this rate for the lifetime of your subscription. Limited to the first 100 Founding Member signups.
- Standard: $97/month.
The pricing shown to you at signup is the rate that will be charged.
Renewal & cancellation: paid subscriptions renew automatically each month until canceled. You may cancel anytime from Settings; cancellation takes effect at the end of the current billing period.
Refunds: trial cancellations made before day 14 are not charged. After billing begins, payments are non-refundable except where required by law.
Taxes may apply depending on your location.

4. Acceptable use

You agree not to:

Use the Service unlawfully or to violate others' rights.
Enter data you are not authorized to share, including individual employee PII, compensation tied to named individuals, or protected health information (PHI).
Attempt to access, reverse engineer, or extract the Service's underlying prompts, models, or methodology.
Probe, disrupt, or circumvent security or rate limits, or resell or sublicense the Service.

5. AI outputs & no professional advice

The Service uses artificial intelligence. Outputs may be inaccurate, incomplete, or not suitable for your situation. Outputs are drafts that you, the professional, must review and validate before relying on or sharing them. CaliberSuite does not provide legal, financial, accounting, tax, medical, or HR-compliance advice, and using it does not create any professional or fiduciary relationship. You are solely responsible for decisions you make.

6. Your content

You retain ownership of the context, questions, and other content you submit ("Your Content"). You grant GGenesis a limited license to host, process, and use Your Content solely to operate and provide the Service to you (including sending it to our AI provider to generate responses). You represent that you have the right to submit Your Content and that it does not violate these Terms or any law.

7. Our intellectual property

The Service, including its software, design, prompts, and underlying methodology, and the marks CaliberSuite™ and Cost-to-Revenue Method™, are owned by GGenesis Strategic Solutions LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription. No other rights are granted.

8. Third-party services

The Service relies on third-party providers (hosting, database/authentication, AI, email, payments). Your use may also be subject to their terms. We are not responsible for third-party services.

9. Termination

You may stop using the Service and delete your data at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive (e.g., 5, 7, 10, 11, 12) survive termination.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GGENESIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US $100.

12. Indemnification

You agree to indemnify and hold harmless GGenesis from claims arising out of Your Content, your use of the Service, or your violation of these Terms or any law.

13. Governing law

These Terms are governed by the laws of the State of Louisiana, USA, without regard to conflict-of-laws rules.

14. Changes to these Terms

We may update these Terms. We will post the updated version here with a new "Last updated" date and, for material changes, provide reasonable notice. Continued use after changes means you accept them.
